The following terms govern access to and use of services provided by the company. By using the company's services, users accept and agree to be bound by these terms. If a user does not agree with any part of the terms, the user must not access or use the services.
Acceptance of Terms
Access to and use of the company's services are conditional upon acceptance of these terms and any additional terms posted with particular offerings. The organization may require users to agree to supplementary terms for specific tools, products, or engagements; such supplementary terms form part of the contractual relationship where applicable.
Service Usage
Users agree to use services in a lawful manner and in compliance with any usage policies set forth by the company. Prohibited activities include unauthorized access, interference with service operation, transmission of malicious code, or misuse of intellectual property. The company reserves the right to monitor usage to ensure compliance and to protect the integrity of the services.
Intellectual Property
All intellectual property rights in the services, including designs, software, documentation, and deliverables provided under an engagement, are owned by the company unless expressly transferred under a written agreement. Where intellectual property is transferred, such transfer will be subject to terms and conditions agreed by both parties. Users are granted only the rights expressly set forth in any contractual agreement; all other rights are reserved.
Limitation of Liability
To the extent permitted by law, the company will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the services. The aggregate liability of the company for direct damages under or in connection with these terms will be limited to fees paid for the relevant services during the twelve months preceding the claim, unless otherwise agreed in writing. These limitations reflect an allocation of risk and the pricing of services.
Termination
Either party may terminate a services agreement in accordance with the terms specified in that agreement. The company may suspend or terminate access to services immediately if a user breaches these terms or engages in conduct that threatens the security or operation of the company's systems. Upon termination, any outstanding obligations or accrued rights will survive to the extent necessary for their effectuation.
Changes to Terms
The company may revise these terms from time to time. Material revisions will be posted or otherwise communicated prior to their effective date. Continued use of the services after changes take effect constitutes acceptance of the revised terms. Users who do not agree to updated terms should cease using the services before the effective date of the changes.
